Terms of Use
Effective May 1, 2026
These Terms of Use ("Terms") govern your access to and use of www.wiensandrothcommercial.com (the "Platform") operated by Wiens & Roth Commercial, an affiliate of Wiens & Roth Real Estate (collectively, "Wiens & Roth," "we," "us"). By using the Platform you agree to these Terms.
1. Eligibility
The Platform is intended for commercial real estate investors, brokers, owners, and their professional advisors. You must be at least 18 years old. By creating an account you represent that you have authority to bind the entity on whose behalf you are acting, if any.
2. Accounts & security
You are responsible for safeguarding your account credentials and for all activity under your account. You agree to notify us immediately at deals@wiensandrothcommercial.com of any unauthorized use.
3. Confidentiality of materials
Offering memoranda, financial statements, leases, rent rolls, surveys, and other documents made available through the Platform are confidential. Access is granted solely after you electronically sign a confidentiality agreement ("CA") specific to each listing. Your signed CA is the controlling agreement between you, Wiens & Roth, and the property seller, and supersedes any inconsistent term in these Terms with respect to such materials.
You may not:
- Share, copy, redistribute, screenshot, or republish confidential materials.
- Use confidential materials for any purpose other than evaluating the specific transaction.
- Attempt to bypass access controls, watermarks, download protection, or activity logging.
Violations may be enforced by injunctive relief, damages, and attorneys' fees as provided in your signed CA.
4. No offer; no agency
Information on the Platform is for marketing and informational purposes only. Nothing on the Platform constitutes an offer to sell or lease real property, the formation of a broker-client relationship, the rendering of legal, tax, or financial advice, or a guarantee of accuracy. All financial projections and forward-looking statements are estimates only. You should conduct your own due diligence and consult your own advisors.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or otherwise extract source code from the Platform.
- Use bots, scrapers, or automated tools to access the Platform.
- Submit false, misleading, or fraudulent information.
- Interfere with the operation of the Platform or other users' access.
- Use the Platform for any unlawful purpose or in violation of any applicable law.
6. Third-party services
The Platform integrates with third-party services (including Vercel, Supabase, Resend, FollowUpBoss, Dropbox, Mapbox, and others) whose own terms apply to the portions they provide. We are not responsible for third-party services.
7. Intellectual property
All content on the Platform, including listing descriptions, photographs, offering memoranda, design, source code, and the Wiens & Roth marks, is owned by Wiens & Roth or its licensors. You receive no ownership rights from access. You may not use Wiens & Roth marks without prior written permission.
8. Termination
We may suspend or terminate your account at any time, with or without notice, for any reason including breach of these Terms or your signed CA. Provisions that by their nature should survive (Confidentiality, Intellectual Property, Indemnification, Limitation of Liability, Governing Law) survive termination.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WIENS & ROTH AND ITS AFFILIATES, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED $100.
11. Indemnification
You agree to indemnify and hold harmless Wiens & Roth from any claim, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms or your signed CA, or your misuse of confidential materials.
12. Governing law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Monroe County, Michigan, and you consent to personal jurisdiction in those courts.
13. Changes
We may revise these Terms at any time. Material changes will be posted with a new effective date. Continued use after changes constitutes acceptance.
